IMPORTANT
These Terms of Service establish the general conditions for using Arcadia Global websites, platforms, research environments and services. They are intended as a common framework, not as a substitute for a specific service notice or a signed client agreement. If you enter into a separate agreement with Arcadia Global, that agreement will govern the services it covers and will prevail over these Terms to the extent of any conflict. We will respect mandatory local consumer protections regardless of the governing law

1. ABOUT ARCADIA GLOBAL

Arcadia Global is operated by Arcadia SAS, a company established in Colombia (“Arcadia,” “we,” “us” or “our”).

Arcadia researches, develops and provides tools, technology and services related to research, work, growth, training and technology. Depending on the platform or engagement, these activities may include AI research and evaluation, professional and talent-related activities, directories and marketplaces, training, consulting, software and application development, business development, strategy, technology research, and related services.

Not every activity is available at all times or to every user. Features and services may change, be suspended or be discontinued.

2. ACCEPTANCE AND SCOPE

By accessing or using an Arcadia website, platform or service, you agree to these Terms. If you do not agree, do not use the relevant service.

Some services may have additional rules, notices, licenses or terms. Those additional terms apply to the relevant service. If you use a service on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf.

If you enter into a signed contract, statement of work, order form, data-processing agreement or other written agreement with Arcadia, that agreement governs the specific engagement and takes precedence over these general Terms where they conflict.

3. ELIGIBILITY AND ACCOUNTS

You must have the legal capacity required by the laws applicable to you to use the relevant service. If you are below the age of legal capacity, you may use a service only where permitted by applicable law and with any required authorization or supervision.

You are responsible for providing accurate information, protecting your account credentials and activity under your account, and notifying us if you suspect unauthorized access. Do not impersonate another person or create an account using information you are not authorized to use.

We may refuse registration, restrict access or suspend accounts where reasonably necessary for security, legal compliance, enforcement of these Terms or protection of users and our services.

4. ACCEPTABLE USE

You may use our services only lawfully and in accordance with these Terms and any service-specific rules. You must not:

  • Violate applicable law, another person’s rights or contractual obligations.
  • Infringe intellectual property, privacy, confidentiality or data-protection rights.
  • Upload or submit information you do not have the right to share.
  • Attempt unauthorized access, disrupt services, bypass security controls or interfere with other users.
  • Use our services to distribute malware, conduct fraud, send unsolicited communications or facilitate harmful or unlawful activity.
  • Misrepresent your identity, qualifications, professional history, affiliation or authority.
  • Scrape, copy, redistribute or commercially exploit service content except as permitted by law, the relevant service terms or our written permission.
  • Attempt to extract source code, model weights, private data or non-public system information through unauthorized means.
  • Use research or evaluation tools to manipulate results, coordinate deceptive ratings or undermine the integrity of a study.

We may investigate suspected misuse and take proportionate action, including removing content, limiting features, suspending access or reporting conduct where legally required or appropriate.

5. RESEARCH, AI ARENAS AND USER CONTRIBUTIONS

Certain services may invite users to compare AI models, submit prompts, review outputs, vote, annotate, complete tasks or provide other research contributions. The specific interface or research notice may explain how contributions are collected and used.

Unless a service explicitly states otherwise, do not submit confidential, privileged, sensitive or personally identifying information about yourself or others to public, experimental or third-party AI systems. AI prompts and outputs may be processed by external providers and may be retained or used under their own terms. Contributions may be reviewed, analyzed, aggregated or reused for research, evaluation, product development and related purposes as described in the applicable privacy notice and service disclosures. The user waives any moral rights to the extent permitted by law applicable to the original data, its modifications, and adaptations.

Where a service is expressly described as public or shared, you should assume that submitted content or results may be visible to other participants or the public. Where content is described as private or restricted, access remains subject to the applicable service design, security limitations and disclosures. We do not guarantee that a contribution can be fully removed from derived, aggregated, published or distributed research results.

You are responsible for ensuring that your contributions are lawful, accurate to the extent relevant, and do not violate third-party rights. Do not submit material that you are not authorized to disclose.

6. AI OUTPUTS AND AUTOMATED TOOLS

AI-generated outputs may be inaccurate, incomplete, outdated, biased or unsuitable for a particular purpose. Outputs may differ between runs and may contain errors or material that resembles third-party content. You are responsible for reviewing outputs and independently verifying information before relying on it.

Unless a signed agreement expressly provides otherwise, AI outputs, recommendations, assessments and research results are provided for informational, exploratory or research purposes only. They are not legal, medical, financial, employment, security or other professional advice, and they should not be the sole basis for consequential decisions.

Arcadia does not guarantee that an AI system or output will be available, uninterrupted, secure, accurate, unique, non-infringing or fit for a particular purpose. Human review may be necessary, especially where decisions could materially affect a person.

7. PROFESSIONAL ACTIVITIES AND OPPORTUNITIES

Arcadia may provide tools or activities related to skills, talent, professional profiles, training, work opportunities, directories or marketplaces. Unless expressly stated in a separate written agreement, Arcadia is not acting as an employer, employment agency, recruiter, staffing company, professional licensing body or guarantor of any opportunity.

Listing an opportunity, profile, service or participant does not constitute an endorsement, verification or guarantee. Users and organizations are responsible for independently evaluating counterparties, qualifications, terms, suitability and legal requirements. Any employment, contracting, training or commercial relationship is between the relevant parties unless a separate written agreement states otherwise.

Arcadia does not guarantee that a user will receive work, clients, training outcomes, income, investment, marketplace transactions or other results.

8. BUSINESS, CONSULTING AND TECHNOLOGY SERVICES

Arcadia may provide business consulting, research, strategy, training, software development, AI implementation, integration, technical support, prototypes and related professional services.

The scope, deliverables, milestones, fees, payment terms, acceptance criteria, support, service levels, ownership, licensing, confidentiality, data processing, security responsibilities and warranties for a client engagement should be specified in a separate written agreement or statement of work. Estimates, proposals, demonstrations and discussions are not binding commitments unless accepted in writing by an authorized representative of Arcadia.

Unless a written agreement says otherwise:

  • Recommendations, prototypes, demonstrations and experimental features are supplied for evaluation and may require further development before production use.
  • The client is responsible for its business decisions, deployment environment, user permissions, source data, backups, compliance obligations and human oversight.
  • Delivery dates and projected outcomes are estimates unless expressly agreed as binding.
  • Third-party services, models, APIs, infrastructure and software are subject to their own terms, availability, pricing and technical limitations.
  • Changes in third-party services, model behavior, licensing, pricing or access may affect a solution.

Nothing in this section limits obligations expressly accepted by Arcadia in a signed agreement or rights that cannot lawfully be excluded.

9. FEES, PAYMENTS AND TAXES

Some services may be free, experimental, subscription-based or paid per engagement. Applicable prices, billing arrangements, cancellation rules, taxes and payment deadlines will be disclosed in the relevant service or agreed in writing.

Unless otherwise stated, fees do not include taxes, duties or other charges that the client or user is legally required to pay. If a paid service is offered through a third-party platform, that platform’s payment and refund terms may also apply.

10. INTELLECTUAL PROPERTY AND LICENSES

Arcadia and its licensors retain their rights in Arcadia’s websites, branding, software, designs, documentation, research tools and other materials, except for rights expressly granted to you. These Terms do not transfer ownership of Arcadia intellectual property.

Subject to these Terms and any service-specific conditions, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the relevant service for its intended purpose.

You retain rights you hold in content you submit. By submitting content to a service, you grant Arcadia a non-exclusive, worldwide, royalty-free license to host, reproduce, process, analyze, adapt and use that content as reasonably necessary to operate the service and for the research, evaluation, security and product-development purposes disclosed for that service. This license is subject to applicable law, the privacy notice, any specific consent or service terms, and any separate written agreement. It does not authorize Arcadia to publicly disclose content where the applicable service has represented that it is private.

Third-party models, datasets, open-source software and other materials remain subject to their own licenses and terms. No rights in third-party materials are granted beyond those terms. tThe user owns or has the rights to all content they submit for processing/research. All AI outputs are covered by the “No Warranty of Originality” clause of their providers.

For paid client work, ownership and licensing of deliverables, pre-existing materials, tools, reusable components and work product must be established in the relevant written agreement. In the absence of such an agreement, no transfer of ownership should be inferred merely from a proposal, demonstration or discussion.

11. CONFIDENTIALITY AND DATA PROTECTION

Do not send confidential information to Arcadia unless the relevant service is intended for that purpose or an appropriate written confidentiality arrangement is in place. A signed client agreement may establish specific confidentiality, security and data-processing obligations.

Our collection and use of personal data are described in the Arcadia Global Privacy Policy and any applicable service-specific notice. Third-party providers may process information under their own policies. You should review those policies before submitting information to external services.

Nothing in these Terms replaces any consent, authorization, data-processing agreement or other legal basis required by applicable data-protection law.

Learn more about the DPA in our privacy policy page.

12. THIRD-PARTY SERVICES AND LINKS

Our services may rely on or link to third-party websites, APIs, models, marketplaces, payment providers, infrastructure or software. Arcadia does not control all third-party services and is not responsible for their independent content, policies, security, availability, pricing or actions. Your use of those services may be subject to separate terms and privacy policies.

13. AVAILABILITY, CHANGES AND TERMINATION

We may update, suspend or discontinue all or part of a service, including experimental features, where reasonably necessary for maintenance, security, legal compliance, business reasons or changes in technology. We do not guarantee uninterrupted or permanent availability unless a separate written agreement expressly provides otherwise.

You may stop using a service at any time. We may suspend or terminate access if you breach these Terms, create risk or liability, misuse a service, or where required by law. Where reasonable and lawful, we may provide notice or an opportunity to address the issue.

Termination does not affect provisions that by their nature should survive, including applicable intellectual-property provisions, disclaimers, limitations of liability, indemnities, dispute provisions and outstanding payment obligations.

14. DISCLAIMERS

To the maximum extent permitted by applicable law, services and materials that are not expressly covered by a signed agreement are provided “as is” and “as available.” Arcadia disclaims warranties that may lawfully be excluded, including implied warranties of merchantability, fitness for a particular purpose, availability, accuracy and non-infringement.

We do not guarantee particular commercial, research, educational, technical, employment or financial outcomes. Experimental services may contain errors, change without notice or become unavailable.

By using the service, the user acknowledges they are solely responsible for any actions taken based on the output of AI tools; the company shall not be liable for any “consequential, indirect, or punitive damages” resulting from a user’s reliance on the tools.

Nothing in these Terms excludes or limits a warranty, statutory right or obligation that cannot legally be excluded or limited. The limitations of liability do not apply to gross negligence, willful misconduct, or cases of personal injury/death.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Arcadia will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data or anticipated savings arising from use of, or inability to use, a service.

To the maximum extent permitted by law, Arcadia’s aggregate liability arising from a free or experimental service will be limited to the amount, if any, paid by you to Arcadia for that service during the three months preceding the event giving rise to the claim. This limitation does not apply where prohibited by law and does not override a different allocation of liability in a signed client agreement.

Arcadia is not responsible for decisions made solely on the basis of AI outputs, research results, user profiles, listings or third-party information without appropriate independent review.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited. Mandatory consumer protections and other non-waivable legal rights remain unaffected.

16. INDEMNITY

To the extent permitted by applicable law, you agree to be responsible for claims, losses, legal fees, and reasonable costs arising from your unlawful use of a service, your breach of these Terms, or content you submit that infringes third-party rights. This provision does not apply to the extent a claim results from Arcadia’s own conduct for which it is legally responsible, and does not limit any non-waivable rights.

17. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Colombia, without prejudice to mandatory legal protections that apply to a user in another jurisdiction.

The parties will attempt in good faith to resolve disputes informally. If a dispute cannot be resolved informally, it will be submitted to the competent courts in Colombia, unless mandatory law or a separate written agreement requires another procedure or forum.

18. CHANGES TO THESE TERMS

We may revise these Terms as our services, technology or legal obligations evolve. The updated version will be published with a revised “Last updated” date. Where required by law, we will provide notice or obtain consent for material changes. Continued use after changes take effect constitutes acceptance only to the extent recognized by applicable law.
